1. Acceptance of Terms

By creating an account, registering as a Driver, accessing, or using the LimoCrew platform ("Platform," "Service," or "LimoCrew"), you ("Driver," "User," or "you") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not register or use the Service.

2. About LimoCrew

LimoCrew is a software platform, not a transportation provider. LimoCrew offers technology that connects independent transportation professionals ("Drivers") and transportation companies ("Companies") to facilitate communication, job dispatching, scheduling, and operational management.

LimoCrew does not:

Drivers using the Platform are either independent contractors of transportation companies or independent business operators serving their own clients. The relationship between Drivers and the companies or clients they serve is governed by separate agreements outside of LimoCrew's control.

2.1 No Guarantee of Work or Income

LimoCrew does not guarantee that registering on the Platform will result in any job offers, assignments, work, or income. The volume of work available to a Driver depends on multiple factors outside of LimoCrew's control, including but not limited to:

Companies and clients independently decide which Drivers to engage, which jobs to offer, and at what rates. LimoCrew does not influence, control, or guarantee any of these decisions. Drivers who do not receive job offers or sufficient income from the Platform have no claim against LimoCrew for any expected or anticipated work or income.

Drivers acknowledge that subscribing to or using LimoCrew involves inherent business risk, and that any investment in vehicles, equipment, licenses, insurance, or other resources made in connection with using the Platform is at the Driver's sole risk and expense. LimoCrew does not reimburse or compensate Drivers for any such investments, regardless of whether the Driver ultimately receives work through the Platform.

3. Driver Eligibility and Responsibilities

To use the LimoCrew Platform as a Driver, you must:

6. Payments and Independent Contractor Status

6.1 LimoCrew Does Not Process Payments

LimoCrew does not process, hold, or transfer payments between Drivers, Companies, and clients. All financial transactions are handled directly between the parties involved or through third-party payment processors.

6.2 Independent Contractor Relationship

If you are a Driver, your relationship with LimoCrew is that of an independent user of the Platform. LimoCrew does not:

6.3 LimoCrew Subscription Fees

Access to certain Platform features may require payment of a subscription fee. Subscription fees are non-refundable except as required by applicable law. LimoCrew reserves the right to modify subscription prices with reasonable notice.

7. Insurance and Liability

You are solely responsible for maintaining adequate insurance coverage. LimoCrew does not provide insurance of any kind to Drivers, vehicles, passengers, or third parties.

8.1 Service Provided "As Is"

The LimoCrew Platform is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. LimoCrew does not guarantee that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

To the maximum extent permitted by applicable law, LimoCrew's total aggregate liability to you for any claim arising out of or relating to these Terms or your use of the Platform shall not exceed the greater of: (a) the total amount of subscription fees you have paid to LimoCrew in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).

8.5 Indemnification

You agree to indemnify, defend, and hold harmless LimoCrew, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform, (b) your violation of these Terms, (c) your violation of any law or third-party right, (d) any transportation service you provide, or (e) any dispute between you and any other Platform user, Company, or passenger.

9. Privacy and Data

Your use of the Platform is also governed by our Privacy Policy, which describes what information we collect, how we use it, and your rights regarding your data.

By registering, you consent to LimoCrew collecting and processing the following information:

You also consent to LimoCrew sharing relevant information with Companies you work with, with other authorized Platform users (such as dispatchers and team members), and with third-party service providers (payment processors, messaging services, mapping services) as needed to operate the Platform.

10. Intellectual Property

All software, designs, text, graphics, logos, and content of the LimoCrew Platform are the exclusive property of LimoCrew and its licensors. You receive a limited, non-exclusive, non-transferable, revocable license to use the Platform solely for its intended purpose. You may not:

Any content you submit to the Platform (job notes, messages, ratings, etc.) remains your property, but you grant LimoCrew a worldwide, non-exclusive, royalty-free license to use, store, display, and distribute such content as necessary to operate the Platform.

11. Suspension and Termination

11.1 Termination by You

You may terminate your account at any time by following the account deletion procedures in the Platform or by contacting LimoCrew support. Termination does not entitle you to a refund of any prepaid subscription fees.

LimoCrew may suspend or terminate your account, with or without prior notice, if:

Upon termination, your right to access the Platform ends immediately. LimoCrew may retain certain information for legitimate business or legal purposes as described in the Privacy Policy. 12. Modifications to Terms

LimoCrew may modify these Terms at any time. We will notify you of material changes by email, in-app notification, or by posting a notice on the Platform. The "Last Updated" date at the top reflects the most recent revision. Continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Platform and terminate your account.

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before filing any formal claim, you agree to first contact LimoCrew at the address in Section 15 and attempt to resolve the dispute informally for at least thirty (30) days.

13.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or your relationship with LimoCrew that cannot be resolved informally shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in the state of LimoCrew's principal place of business, unless the parties agree otherwise.

13.3 Class Action Waiver

You and LimoCrew agree that any dispute will be resolved on an individual basis only. You waive your right to participate in any class action, class arbitration, or representative proceeding.

13.4 Exceptions

Notwithstanding the above, either party may bring an individual claim in small claims court if eligible, and either party may seek injunctive relief in court to protect intellectual property rights.

13.5 Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles. Federal law, including the Federal Arbitration Act, governs the interpretation and enforcement of Section 13.

14. General Provisions

14.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and LimoCrew regarding the Platform and supersede all prior agreements.

14.2 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14.3 No Waiver

LimoCrew's failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer your rights under these Terms without LimoCrew's prior written consent. LimoCrew may assign these Terms in connection with a merger, acquisition, or sale of assets.

14.5 Force Majeure

LimoCrew shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, internet outages, governmental actions, or labor disputes.

14.6 No Agency

Nothing in these Terms creates any partnership, joint venture, agency, employment, or fiduciary relationship between you and LimoCrew.
